These Terms of Use ("Terms") govern your access to and use of the Junigo website (the "Website"), mobile application, payment platform and related products and services provided by JuniGo (collectively, the "Services").
These Terms constitute a legally binding agreement between you ("you" or "your") and JuniGo ("JuniGo", "we", "us", or "our").
If you access or use the Services on behalf of a business or other legal entity, you represent and warrant that you are authorised to act on behalf of and bind that entity to these Terms. In such circumstances, references to “you” or “your” include both you and the entity you represent, as applicable.
By accessing or using the Services, you acknowledge that you have read, understood and agree to be bound by these Terms.
These Terms should be read together with JuniGo’s Privacy Policy and any other applicable terms, notices or agreements that may apply to particular Services or transactions.
For the purposes of these Terms:
“Account” means an account established by you with JuniGo for accessing and using the Services.
“Business Day” means a day on which relevant financial institutions and payment systems are generally open for business in the jurisdiction applicable to the relevant Service or transaction, excluding weekends and public holidays.
“Digital Asset” means a digital representation of value or rights that may be transferred, stored or traded electronically, including Digital Assets supported by JuniGo from time to time.
“Fees” means any fees, charges, spreads, commissions, network fees or other amounts payable in connection with the Services or a Transaction.
“Personal Information” has the meaning given to it in JuniGo’s Privacy Policy.
“Transaction” means any payment, transfer, conversion, settlement, receipt or other transaction initiated, processed or facilitated through the Services.
“Third-Party Provider” means any bank, financial institution, payment service provider, digital asset service provider, blockchain network, technology provider, identity verification provider, transaction monitoring provider, liquidity provider, professional adviser or other third party engaged by or on behalf of JuniGo in connection with the Services.
Unless the context requires otherwise, references to the singular include the plural and vice versa, and references to any law or regulation include any amendment, replacement or successor to that law or regulation.
JuniGo provides payment and related financial technology services that may enable you to initiate, receive, convert, transfer or settle payments and Digital Assets through supported payment methods, financial institutions, payment service providers, blockchain networks and other third-party infrastructure.
The Services available to you will depend on your location, eligibility, applicable regulatory requirements, the JuniGo entity providing the relevant Services, and the products or features made available to you from time to time.
Not all Services are available in all jurisdictions or to all customers. We may impose transaction limits, eligibility requirements, geographic restrictions or other conditions on the availability or use of particular Services.
Certain Services may be subject to additional terms, schedules, product-specific terms, agreements or disclosures. Where applicable, those additional terms will form part of your agreement with us and will apply to your use of the relevant Services.
We may modify, suspend or discontinue any Service or feature where reasonably necessary for operational, commercial, technical, legal, regulatory, security or risk-management reasons.
The Services do not constitute and are not intended to provide investment, legal, tax or other professional advice. Unless expressly stated otherwise, nothing in the Services constitutes a recommendation, solicitation or advice to acquire, hold, sell or otherwise transact in any Digital Asset or financial product.
You must be at least 18 years of age to use the Services. By accessing or using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.
To access certain Services, you may be required to create an Account and provide information requested by us.
You must provide information that is accurate, complete and up to date and must promptly notify us if any information changes.
You are responsible for maintaining the confidentiality and security of your Account credentials and for all activities conducted through your Account, except to the extent caused by our failure to maintain appropriate security measures.
You must notify us promptly if you become aware of any unauthorised access to or use of your Account, credentials or the Services through your Account.

You agree to cooperate with our customer identification, KYC, KYB, customer due diligence, enhanced due diligence, sanctions screening, transaction monitoring, fraud prevention and other compliance processes.
We may request additional information or documentation from you at any time where we reasonably consider it necessary or appropriate to:

If you fail to provide requested information or documentation, or if the information provided is insufficient to satisfy our requirements, we may delay, reject, restrict, suspend or terminate the relevant Services or Transaction to the extent permitted by applicable law.
We may take any action required or permitted by applicable law or in response to a lawful request or direction from a competent authority, including making any reports or disclosures required or permitted by applicable law to relevant authorities.
Where required by law or regulatory requirements, we may be unable to disclose the reasons for certain actions taken in connection with compliance, monitoring or regulatory processes.
You may initiate Transactions through the Services using the payment methods, currencies and Digital Assets supported by JuniGo from time to time.
You are responsible for ensuring that all Transaction instructions and information provided by you are accurate, complete and up to date, including, where applicable:
A Transaction may be subject to verification, screening, approval and other controls before it is processed.
We may delay, reject, suspend, cancel, reverse or otherwise restrict a Transaction where reasonably necessary to:
Transaction processing and settlement times may vary depending on the payment method, financial institution, Third-Party Provider, blockchain network, intermediary and other factors outside our reasonable control.
Where a Transaction is processed through a Third-Party Provider or blockchain network, the Transaction may also be subject to the rules, procedures, limitations and processing requirements of that third party or network.
You agree to pay all Fees and charges applicable to the Services and Transactions you initiate.
Applicable Fees may be communicated through the Website, mobile application, transaction interface, pricing schedule, quotation, commercial agreement or other applicable documentation.
Fees may include transaction fees, conversion fees, network fees, bank or intermediary charges and other charges applicable to the relevant Service.
Unless otherwise stated or required by applicable law, Fees paid are non-refundable to the extent that the relevant Service has been provided or the relevant Transaction has been processed.
You are responsible for any taxes, duties or other governmental charges applicable to your use of the Services or Transactions, except to the extent such amounts are required by law to be borne by JuniGo.
To the extent permitted by applicable law, we may deduct Fees, charges or other amounts you owe us from amounts otherwise payable to you.
Transactions may be subject to minimum and maximum limits, geographic restrictions, currency restrictions, Digital Asset restrictions, compliance requirements and other limitations communicated by us from time to time.
We do not guarantee that any Transaction requested by you will be accepted, processed or completed.
We may reverse, cancel, recall, reject or otherwise adjust a Transaction where permitted or required by applicable law, the relevant payment system, financial institution, blockchain network or Third-Party Provider.
Where a Transaction cannot be completed or is cancelled, any return, refund or release of funds will be subject to applicable law, the nature of the Transaction, the applicable payment or settlement mechanism and our applicable procedures.
You acknowledge that certain Transactions, particularly blockchain Transactions, may not be reversible once submitted to or recorded on the relevant network.
We are not responsible for delays or failures caused by incorrect Transaction information provided by you, except to the extent caused by our breach of applicable law or our obligations under these Terms.
Where the Services involve Digital Assets or blockchain networks, you acknowledge that such Transactions may be subject to risks and characteristics that do not apply to conventional payment Transactions.
Blockchain Transactions may be irreversible once submitted or confirmed on the relevant network.
We do not control the underlying blockchain networks and cannot guarantee their availability, performance, processing times, transaction confirmation or successful processing or completion of any Transaction.
You are responsible for ensuring that any wallet address, network selection or other Transaction information provided by you is accurate.
Digital Asset Transactions may be subject to network fees, congestion, delays, technical failures, forks, changes in network protocols or other events affecting the relevant blockchain network.
We may restrict or discontinue support for a particular Digital Asset or blockchain network where reasonably necessary for legal, regulatory, operational, security or risk-management reasons.
Digital Assets may experience significant price volatility. Unless expressly agreed otherwise, JuniGo does not provide investment, financial, tax or legal advice in relation to Digital Assets.
You acknowledge that Digital Asset Transactions may involve risks, including the potential loss of value or inability to recover Digital Assets sent to an incorrect wallet address, unsupported Digital Asset or incorrect or unsupported blockchain network.
You must not use the Services:
We may restrict, suspend or terminate your access to the Services, or decline, delay or restrict a Transaction, where we reasonably determine that the Services are being or may be used in breach of these Terms, applicable law or our compliance requirements.
We may use or work with Third-Party Providers, including banks, financial institutions, payment service providers, digital asset service providers, blockchain networks, liquidity providers, technology providers, identity verification providers, transaction monitoring providers and other service providers in connection with the Services.
The availability and performance of certain Services may depend on these Third-Party Providers.
Third-Party Providers may impose their own requirements, restrictions, fees, processing times or terms.
Where a Transaction or Service involves a Third-Party Provider, you acknowledge that the relevant Transaction or Service may be subject to the relevant Third-Party Provider's applicable terms, policies and procedures.
We are not responsible for the acts, omissions, availability or performance of Third-Party Providers to the extent outside our reasonable control.
Where reasonably necessary to provide the Services, comply with applicable law or perform our compliance and risk-management functions, we may provide relevant information to Third-Party Providers in accordance with our Privacy Policy and applicable law.
The Website and Services may contain links to third-party websites, mobile applications, or other external resources. Unless expressly stated otherwise, the inclusion of any such link does not constitute or imply approval, sponsorship, endorsement, or affiliation by JuniGo.
We do not control and are not responsible for third-party websites, applications or external resources, including their content, availability, terms or privacy practices.
Your access to or use of such resources is at your own risk and may be subject to the applicable terms and policies of the relevant third party.
We may suspend, restrict or terminate your access to all or part of the Services, or decline, delay or restrict a Transaction, where:

All intellectual property rights in and to the Website, mobile application, Services, software, technology, trademarks, logos, designs, content and other materials provided by JuniGo are owned by or licensed to JuniGo or its relevant licensors.
Subject to these Terms, JuniGo grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Services for their intended purposes.

We do not warrant that the Website or Services will be free from viruses or other harmful components, although we will take reasonable measures to protect the Services.
To the fullest extent permitted by applicable law, we disclaim all warranties, representations and conditions, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
Nothing in these Terms excludes or limits any warranty, representation, condition or liability that cannot lawfully be excluded or limited.
To the fullest extent permitted by applicable law, JuniGo will not be liable for any indirect, incidental, special, punitive, or consequential losses or damages, or for any loss of profits, revenue, business opportunities, goodwill, anticipated savings or reputation arising out of or in connection with your access to or use of the Services.

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless JuniGo and its affiliates, directors, officers, employees, agents and service providers from and against any liabilities, losses, claims, damages, costs, or expenses (including reasonable legal fees) arising out of or in connection with:

We will not be responsible for any failure or delay in performing our obligations under these Terms to the extent caused by circumstances beyond our reasonable control.
Such circumstances may include natural disasters, war, terrorism, civil unrest, government action, sanctions, regulatory changes, power or telecommunications failures, cyber incidents, banking or payment-system outages, blockchain network failures or congestion, failures of Third-Party Providers, labour disputes or other events beyond our reasonable control.
Where reasonably practicable, we will take reasonable steps to mitigate the effects of such circumstances.
You agree that we may communicate with you electronically through the email address, telephone number, Account, Website, mobile application or other contact details associated with your Account or provided by you.
You are responsible for ensuring that your contact information remains accurate and that you are able to receive communications from us.

Where we are required to provide notices in a particular manner or within a particular timeframe under applicable law, we will comply with those requirements.
We may amend or update these Terms from time to time to reflect changes to the Services, our business, applicable law or regulatory requirements, or for other legitimate business reasons.
Where appropriate, we will update the “Last Updated” date at the top of these Terms and may provide notice of material changes through the Website, mobile application, email or other appropriate means.
Unless otherwise stated, revised Terms will take effect upon publication on the Website.
Where permitted by applicable law, your continued access to or use of the Services after the effective date of the revised Terms constitutes your acknowledgement of the updated Terms.
These Terms and any dispute or claim arising out of or in connection with them or the Services will be governed by and construed in accordance with the laws applicable to the JuniGo entity providing the relevant Services to you, without regard to conflict-of-law principles.
Subject to applicable law, any dispute or claim arising out of or in connection with these Terms or the Services will be submitted to the courts or other competent dispute resolution forum having jurisdiction over the JuniGo entity providing the relevant Services to you.
Before commencing formal proceedings, the parties should make reasonable efforts to resolve any dispute through good-faith discussions.
Where a separate agreement, product-specific terms, commercial agreement or other applicable documentation specifies different governing law, jurisdiction or dispute resolution arrangements for particular Services, those arrangements will apply to the relevant Services.

These Terms, together with any applicable additional terms, product-specific terms, agreements and policies expressly incorporated into them, constitute the entire agreement between you and JuniGo concerning your use of the relevant Services and supersede any prior agreement or understanding relating to the same subject matter, except where otherwise agreed in writing.
23.2 No Waiver
Our failure or delay in exercising any right or remedy under these Terms does not constitute a waiver of that right or remedy.
23.3 Severability
If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable, where permitted by law. The remaining provisions will continue in full force and effect.
23.4 Assignment
You may not assign, transfer or otherwise dispose of your rights or obligations under these Terms without our prior written consent.
We may assign, transfer or otherwise dispose of our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, restructuring, sale of business or assets, or other corporate transaction, subject to applicable law.
23.5 No Agency or Partnership
Nothing in these Terms creates or is intended to create a partnership, joint venture, employment, fiduciary, agency or other similar relationship between you and JuniGo.
You must not represent that you are an agent, representative, employee or partner of JuniGo unless expressly authorised by us in writing.
23.6 Third-Party Rights
Unless expressly stated otherwise, a person who is not a party to these Terms has no right to enforce any provision of these Terms.
